Notice is hereby given pursuant to the provisions of Section 110 and other applicable provisions if any, of the Companies Act, 2013 read with Rule 22 of the Companies (Management and Administration) Rules, 2014 and Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, Secretarial Standard issued by Institute of Company Secretaries of India on General Meetings (including any statutory modifications, clarifications, substitutions or re-enactment thereof for the time being in force) and in accordance with the guidelines prescribed by the Ministry of Corporate Affairs for conducting postal ballot process through e-voting vide General Circular Nos. 14/2020 dated 08th April, 2020 and 17/2020 dated 13th April, 2020 in view of COVID-19 pandemic, that the resolutions appended below are proposed by the Board of Directors of the Company to be passed by the Members of White Organic Agro Limited through Postal Ballot by way of remote electronic voting (“e-voting”).
The Company is providing e-voting facility to all the Members through Central Depository Services (India) Limited (‘CDSL’) platform. The members are requested to read the procedure and instructions for e-voting provided in the Postal Ballot Notice attached herewith.
The voting rights of members shall be in proportion to the shares of the paidup equity share capital of the Company as on the cut-off date. The members holding shares either in physical form or dematerialized form as on the cut-off date i.e., Friday, May 21, 2021 and the members whose names are registered in the Register of members or the Register of Beneficial owners maintained by the Depositories on the cut-off date will be entitled to cast their votes on all the resolutions as set out in the Postal Ballot Notice through electronic voting system of Central Depository Services (India) Limited (‘CDSL’).
The Voting period starts on Saturday, May 29, 2021 at 9.00 A.M. and ends on Sunday, June 27, 2021 at 5.00 P.M. The voting module shall be disabled by CDSL for voting thereafter.
Please use your PAN for e-voting in case you have registered the same with the Company / Depository Participant. In case your PAN is not registered please use (*) Default PAN given in the table above.
The Company is sending the Postal Ballot Notice by e-mail mode only to all its Members who have registered their e-mail addresses with the Company, their Registrars and Transfer Agents or Depository/ Depository Participants and the communication of assent/ dissent of the Members will only take place through the remote e-voting system only. This Postal Ballot is accordingly being initiated in compliance with the above MCA Circulars. Accordingly, physical copy of the Notice along with Postal Ballot Form and pre-paid business reply envelope will not be sent to the Members.
Please note that all future shareholder communications would be sent in electronic form to this email address. If any change / update is required to be made to your email id, shareholders holding shares in demat are requested to change / update with the Depository Participant, with whom the demat account is maintained and shareholders holding shares in physical mode may write to the Company / RTA with details of folio no. and attaching a self-attested copy of PAN Card at rnt.helpdesk@linkintime.co.in
